Many misunderstandings come from treating a ceiling, a filing snapshot, and a balance as the same kind of number.

- Developer
- In the project documents used here, Okeechobee Community Developers LLC.
- Landowner
- The entity holding the project land at the date of the source. For the December 2025 offering document, that entity is the developer LLC.
- Member / membership interest
- An ownership interest in an LLC. On this site, direct membership percentages are stated only for the four member LLCs.
- Manager
- A party authorized to manage an LLC. JAM Equities LLC is the sole manager in the offering document. That is not the same as owning every other member's economic interest.
- EB-5 investor
- An investor participating under the federal immigrant-investor framework. This site does not name individual investors and does not solicit investment.
- Loan principal
- A debt amount stated in a note or related instrument.
- Outstanding principal
- Principal still owed at a particular date. Always read the as-of date.
- Maximum principal
- An upper contractual debt limit. It is not an amount borrowed.
- Future-advance ceiling
- A contractual upper bound on possible later advances. The $400 million clause is this kind of ceiling.
- Amount sold (Form D)
- Securities reported sold in that specific SEC filing, as of that filing. It is not a final project raise.
- Offering size
- The maximum or target amount of a securities offering. It is not amount sold.
- CDD
- Community development district. Lakefront Estates CDD is a Florida special-purpose local government created by county ordinance.
- Special assessment bond
- A bond repaid through assessments on benefited property under the applicable documents. The Series 2025 bonds are the issued series identified here, at $8.99 million.
- Under contract / pending
- A listing status meaning a contract has been accepted. It is not a closing.
- Closing
- A consummated sale. A listing is not treated as a closing.
- Recorded deed
- The public land record of a transfer. It is the standard this site uses for the closings ledger.
- Partial release
- A lender's release of a particular unit from a blanket mortgage, subject to the loan documents. It can point to a closing. It is not itself a deed.
- Permission to issue debt up to a ceiling, such as the $132 million bond authorization. It is not debt outstanding.
- Derived
- A figure calculated from sourced numbers, such as the sum of two Form D snapshots. The inputs and the limit of the calculation are stated beside it.
